1) Acceptance of Terms

By accessing or using ZAPT Virtual Clinics (the “Platform”)—including consultations conducted at participating facility hubs—you agree to these Terms & Conditions (“Terms”). If you do not agree, do not use the Platform.

2) Service Description

ZAPT provides facility-anchored telemedicine enabling patients at participating Primary Health Care (PHC) and private facilities to consult licensed clinicians via secure audio/video, chat, and connected diagnostic devices, with documentation, e-prescriptions, referrals, and follow-ups.

3) Eligibility & Accounts

Patients: Register at a participating facility with accurate information. If under the age of consent, a parent/guardian must consent.

Facility Staff & Clinicians: Must be authorized by their employer/contracting entity and comply with professional standards and ZAPT policies.

Credentials: Keep logins confidential; you are responsible for all activities under your account or device session.

4) Facility-Anchored Care & Clinical Scope

Consultations occur with support from on-site facility staff (triage, vitals, device operation).

Clinicians determine telemedicine appropriateness and may require in-person reviews, tests, or referrals.

Certain prescriptions or procedures may be unavailable via telemedicine and require physical evaluation.

5) Telemedicine Consent

Use of the Platform requires informed consent acknowledging the nature, benefits, and limitations of virtual care. Facilities must ensure patients (or guardians) review and sign/affirm the consent prior to first use. See Annex A (summary).

6) Scheduling, Wait Times & Follow-Ups

We operate a pooled-doctor model to improve access. Actual wait times depend on demand, staffing, and connectivity. Facilities coordinate follow-ups; patients must attend scheduled reviews and adhere to care plans.

7) Fees, Payments & Refunds (if applicable)

Fees (e.g., out-of-pocket, HMO co-pay) are disclosed before service.

Payments are processed by licensed third parties; ZAPT does not store card PANs.

Refunds: considered for non-delivery of service (e.g., consultation failed and could not be completed) when reported within 72 hours via support@zaptclinic.com
. Clinical dissatisfaction alone is not refundable.

8) Patient Responsibilities

Provide accurate information; follow clinician instructions; seek urgent in-person care for red-flag symptoms; report adverse events promptly; keep contact details updated.

9) Emergencies

Do not use the Platform for emergencies. In an emergency, call local emergency numbers or go to the nearest hospital immediately. Facilities must maintain clear escalation protocols.

10) Acceptable Use

You agree not to: (a) misrepresent identity or eligibility; (b) share accounts; (c) record or distribute consultations without required consent and lawful basis; (d) upload malware, infringe IP, violate privacy or any law; (e) harass or abuse staff/clinicians. We may suspend or terminate access for violations.

11) Data Protection & Privacy

Processing of personal and health data is governed by our Privacy Policy (incorporated by reference). Facilities act as independent data controllers for records they hold; ZAPT acts as a processor or co-controller as applicable under the Nigeria Data Protection Act 2023 (NDPA) and NDPR 2019. Data subject rights and contact details are provided in the Privacy Policy.

12) Devices, Connectivity & Third-Party Services

You are responsible for compatible devices and connectivity where applicable.

The Platform integrates third-party providers (hosting, messaging, payments, device vendors); their terms may apply in addition to these Terms. ZAPT is not responsible for failures outside its reasonable control.

13) Service Availability & Changes

We aim for high availability but the Platform may be interrupted for maintenance, updates, ISP/power issues, or force majeure. We may modify or discontinue features to improve safety, compliance, or performance. Material changes will be communicated in-app or via facility notices.

14) Training, Quality & Supervision

ZAPT may record operational metrics (not session audio/video unless expressly consented or legally required) to support quality assurance, supervision, clinician training, and monitoring & evaluation, using de-identified/aggregated data where possible.

15) Intellectual Property

The Platform and its content (excluding your medical records and facility content) are owned by ZAPT and licensed providers. You receive a limited, non-exclusive, revocable license to use the Platform in accordance with these Terms. No reverse engineering or derivative works without written permission.

16) Disclaimers

Except as expressly stated: the Platform is provided “as is” and “as available”. ZAPT disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Clinical decisions are made by licensed clinicians, not by ZAPT as a corporation.

17) Limitation of Liability

To the maximum extent permitted by law, ZAPT shall not be liable for indirect, incidental, special, consequential, punitive damages, or lost profits. ZAPT’s aggregate liability for any claim arising from or related to the Platform shall not exceed the greater of (a) ₦300,000 or (b) the amount you paid for the relevant service in the prior 6 months. Nothing limits liability for willful misconduct or death/personal injury caused by negligence.

18) Indemnity

You agree to indemnify and hold harmless ZAPT, its officers, employees, and contractors from claims arising from your misuse of the Platform, breach of these Terms, or violation of law, except to the extent caused by ZAPT’s negligence or willful misconduct.

19) Suspension & Termination

We may suspend or terminate access for policy/legal violations, security risks, non-payment, or misuse. You may stop using the Platform at any time; medical record retention is governed by law and the Privacy Policy.

20) Governing Law & Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall first undergo good-faith negotiation, then mediation in Ogun State, and if unresolved, binding arbitration under the Arbitration and Mediation Act, seated in Abeokuta, Ogun State. Parties may seek interim injunctive relief in competent courts in Ogun State.

21) Changes to Terms

We may update these Terms periodically. Material changes will be notified in-app and/or via facility notices with a new effective date. Continued use after changes indicates acceptance.
